PRIME ACCOUNT TERMS AND CONDITIONS

1. About These Terms

These Terms and Conditions ("Terms") set out the rules that apply when you access and use the Prime Account ("Prime Account"). They apply to you from the moment your Prime Account is activated and remain in force until your access ends.

We may update these Terms from time to time. When we do, we will post the updated version on our website. Your continued use of the Prime Account after an update means you accept the revised Terms. We recommend checking this page regularly.

These Terms should be read alongside our Privacy Policy, the general website terms and conditions and policies, the Prime Account Agreement, and any other rules, guidelines, notices, or communications we publish or make available from time to time, each as amended, supplemented, or replaced from time to time. Where there is any conflict, these Terms will take precedence to the extent of the inconsistency in relation to the Program.

2. What the Prime Account Is

The Prime Account provides access to a trading environment operated and controlled exclusively by OG Prop Corp. All account balances, positions, trading activity, profits, losses, performance metrics, and related data are generated, recorded, and displayed solely within our platform. The nature, structure, and underlying mechanics of the Prime Account environment are determined by the Company at its sole discretion and may be subject to change.

You acknowledge and agree that:

(a) performance within the Prime Account does not guarantee equivalent outcomes in any other trading context, and results may vary materially due to factors including liquidity, pricing, execution logic, slippage, latency, spreads, market depth, or volatility;

(b) the Company makes no representation or warranty regarding the relationship between Prime Account performance and outcomes achievable in any external market or trading context; and

(c) your participation in the Program does not give you any ownership, custody, or proprietary interest in any funds, capital, accounts, or assets held or managed by the Company.

The Company reserves the right, at any time and without notice, to modify, suspend, recalibrate, reset, limit, or discontinue any aspect of the Prime Account environment, including account balances, pricing feeds, trading parameters, leverage, spreads, execution logic, performance calculations, or platform functionality. Your continued use of the Prime Account following any such change constitutes your acceptance of the modified environment.

2.2 Not a Financial Service

The Prime Account Program is not a financial product, financial service, investment service, brokerage service, custodial service, payment service, managed investment scheme, collective investment vehicle, securities offering, derivatives offering, or any other regulated financial activity under any applicable law or regulatory framework.

Nothing contained in the Program, platform, website, communications, marketing materials, trading data, educational content, or any interaction with the Company shall constitute or be construed as:

(a) financial advice;
(b) investment advice;
(c) tax, accounting, or legal advice;
(d) a solicitation, recommendation, endorsement, or invitation to buy, sell, hold, or trade any financial instrument; or
(e) a guarantee or representation of profitability or investment success.

The Company does not act as your broker, fiduciary, investment adviser, agent, or financial intermediary.

You are solely responsible for obtaining independent professional advice from appropriately licensed and regulated advisers before engaging in any trading or investment activity. Reliance on any information provided through the Program is entirely at your own risk.

2.3 Discretionary Access

Participation in the Prime Account Program is offered strictly at the sole and absolute discretion of the Company. Selection for, invitation to, or participation in the Program does not create any contractual right to continued participation, access, renewal, progression, scaling, funding, benefits, or future opportunities.

The Company may, at any time and for any reason or no reason, with or without notice:

(a) approve, reject, suspend, restrict, revoke, or terminate your access to the Program or any Prime Account;
(b) impose eligibility requirements, trading limitations, verification requirements, or compliance reviews;
(c) modify the structure, rules, parameters, eligibility criteria, reward mechanisms, scaling criteria, or operational features of the Program; or
(d) investigate any conduct the Company believes may violate these Terms, applicable law, platform integrity, or the intended purpose of the Program.

Without limiting the foregoing, the Company reserves the right to suspend or terminate access where it reasonably suspects misuse, abuse, arbitrage activity, prohibited trading conduct, collusion, market manipulation, system exploitation, fraudulent activity, circumvention of Program rules, or any conduct inconsistent with the spirit or purpose of the Program.

To the fullest extent permitted by law, the Company shall have no liability arising from or related to any denial, suspension, restriction, modification, or termination of access to the Program.

2.4 Ownership and Proprietary Rights

All rights, title, and interest in and to the Prime Account Program, including all simulated accounts, virtual balances, trading data, analytics, statistics, platform infrastructure, software, algorithms, systems, interfaces, pricing feeds, intellectual property, and all associated materials and outputs, shall remain the sole and exclusive property of the Company and/or its licensors at all times.

You acknowledge and agree that you acquire no ownership, proprietary interest, beneficial interest, equitable interest, or other legal entitlement in or to:

(a) any simulated funds or account balances;
(b) any simulated profits or trading gains;
(c) any trading history, metrics, rankings, or account status; or
(d) any aspect of the Program infrastructure or systems.

Your participation in the Program grants only a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Program in accordance with these Terms. Such licence may be revoked by the Company at any time.

2.5 No Guarantee of Results

The Company makes no representation, warranty, or guarantee, express or implied, regarding any trading outcome, level of performance, profitability, reward eligibility, scaling opportunity, account progression, or financial result arising from participation in the Program.

Past performance, whether relating to you, other participants, previous accounts, historical data, or hypothetical strategies, is not indicative of and does not guarantee future performance or results. Simulated performance results have inherent limitations and may differ materially from actual market outcomes.

Without limiting the foregoing, the Company does not guarantee that you will:

(a) achieve any profit objective or performance threshold;
(b) qualify for scaling, advancement, or continued participation;
(c) receive any Performance Reward; or
(d) avoid losses, drawdowns, disqualification, or account restrictions within the simulated environment.

You acknowledge that participation in the Program is speculative in nature and dependent on numerous factors beyond the Company's control, including market conditions, platform conditions, user conduct, and Program compliance requirements. Participation is undertaken entirely at your own risk.

3. Eligibility

To access the Prime Account Program, you must:

• Have successfully completed all required stages of our simulated Evaluation Program;
• Have been formally selected by us — selection is at our sole discretion;
• Be at least 18 years old;
• Not be a resident or national of a country subject to applicable international sanctions;
• Not have had a previous Prime Account terminated for rule violations or fraud;
• Agree to these Terms in full.

We reserve the right to verify your eligibility at any time and to withdraw access if eligibility requirements are not or cease to be met.

5. Trading Rules

5.1 You must follow all rules

You are responsible for knowing and following all rules that apply to your Prime Account at all times. These include the rules in these Terms, any parameters set out in your account schedule, and any additional rules or guidelines we publish on our platform. It is your responsibility to stay up to date.

5.2 Loss limits

Your account has two hard loss limits that must never be breached:

Daily Loss Limit: your simulated account balance must not fall below the daily loss threshold on any single trading day. Any breach of the daily loss threshold shall constitute a soft breach, resulting in the suspension of trading activity for the remainder of that trading day only, after which trading may resume on the next trading day.

Smart Maximum Loss Limit: your simulated account balance must not fall below the maximum drawdown threshold calculated from your account's highest recorded balance.

The specific thresholds for your account are set out in your account schedule. Breaching either limit is an immediate rule violation and will result in account termination.

Smart Maximum Loss Limit: The Prime Account is subject to a Smart Maximum Loss Limit. The Smart Maximum Loss Limit trails the highest balance recorded by the account on a one-to-one basis until it reaches the corresponding locked level, after which it is fixed. The initial and locked levels are: initial limit of eight percent (8%), locked limit of plus three percent (+3%). All percentages are calculated based on the account size.

Example (USD 100,000 Prime Account): The Smart Maximum Loss Limit begins at USD 92,000, trails upward as the account records new highest balances, and is fixed at USD 95,000 once the account balance reaches USD 103,000.

Specifically:

• The reference balance for the Smart Maximum Loss Limit is the account balance at the time of the most recent scaling event, or the initial Prime Account balance if no scaling has occurred;
• The Smart Maximum Loss Limit applies to both open and closed positions at all times;
• Should the account balance or equity reach or breach the Smart Maximum Loss Limit, the Prime Account will be immediately suspended, and this Agreement will automatically terminate in accordance with clause 10;
• For the avoidance of doubt, any deductions applied under clause 8.3 (news event trade exclusions) may result in a breach of the Smart Maximum Loss Limit, for which the Customer shall remain solely responsible.

5.3 Prohibited strategies

The following are not allowed under any circumstances:

• Latency arbitrage, tick scalping, or exploiting data feed delays or pricing errors;
• Coordinating trades with other users across multiple accounts to manipulate performance;
• Using automated trading bots, scripts, or expert advisors unless we have approved them in writing in advance;
• Hedging your Prime Account or reverse trading against another account with us or any third party;
• Any strategy that we determine, in our sole discretion, does not reflect genuine trading activity or is designed to exploit the Program;
• Engaging in any conduct intended to manipulate, avoid, delay, or circumvent transition into the Prime Account Program.

If the Company determines, in its sole and absolute discretion, that a Trader has engaged in fraud, wilful misconduct, gross negligence, bad faith conduct, reckless behaviour, or any attempt to manipulate, circumvent, abuse, avoid, or interfere with the Prime Account transition process, including by intentionally causing excessive losses, deliberately blowing the account, or strategically breaching trading parameters, such conduct shall constitute a material breach of these Terms and Conditions. In such circumstances, the Company may immediately terminate the Trader's account, revoke any eligibility for Prime Account transition, cancel any pending rewards, permanently restrict access to the Company's services, and take any other action it deems appropriate.

Notwithstanding any eligibility requirements or criteria set out in these Terms and Conditions, the Company's Risk Team may, at its sole and absolute discretion, approve and transition a Trader to a Prime Account irrespective of whether certain requirements have been satisfied. Any such approval shall be exceptional, discretionary, and non-precedential.

If a Trader declines, refuses, or fails to proceed with a Prime Account transition after being selected or approved by the Company, the Company may, at its sole discretion, terminate the Trader's account, close related accounts, revoke access to its services, and cease its relationship with the Trader.

5.4 Position and instrument limits

You must stay within the position sizing limits, maximum lot sizes, and permitted instruments specified in your account schedule. Trading outside these limits is a rule violation.

5.5 News event restrictions

We may restrict trading around major economic announcements or high-volatility events. Any such restrictions will be posted on the platform and you are responsible for observing them.

5.6 Activity requirements

You must meet any minimum trading activity requirements set out in your program parameters. Accounts that show no activity for an extended period may be reviewed or closed.

5.7 Trading in good faith

You must trade genuinely and in good faith. We review trading activity and reserve the right to determine, in our sole discretion, whether your trading is consistent with legitimate practices. Our determination is final.

6. Scaling

If you reach the profit targets and consistency standards set out in your program parameters, you may become eligible for your simulated account balance to be increased ("scaling"). Scaling is not automatic. We will review your account and make the decision at our sole discretion. Reaching a profit target does not create a right to scaling.

If your account is scaled, all trading rules — including loss limits — will be recalculated based on your new balance.

7. Your Responsibilities

7.1 Account security

You are responsible for keeping your login credentials secure. Do not share your account access with anyone or allow anyone else to trade on your Prime Account. You are responsible for everything that happens through your account.

7.2 Accurate information

You must provide accurate, current, and complete information when registering and throughout your use of the Program. If anything changes, update your details promptly.

7.3 Compliance with laws

You must use the Prime Account Program in compliance with all laws and regulations that apply to you. You must not use the Program for any unlawful purpose.

7.4 Independent contractor

You are an independent contractor. These Terms do not create any employment, agency, partnership, or fiduciary relationship between you and OG Prop Corp. You have no authority to represent or commit us to anything.

7.5 Non-solicitation

While you are in the Program and for two years after it ends, you must not solicit or attempt to recruit any of our employees, contractors, or service providers, or do anything to damage our business relationships.

7.6 Non-disparagement

While you are in the Program and for two years after it ends, you must not make, publish, or share any statement — online or offline — that is false, misleading, or damaging to OG Prop Corp, our team, or our services. We may seek an injunction or damages for breach of this obligation, without needing to prove financial loss.

7.7 Confidentiality

You must keep confidential all non-public information you learn about us through the Program — including account parameters, risk settings, reward structures, and any internal business information. This obligation lasts for three years after your access ends.

8. Intellectual Property

Everything we make available through the Prime Account Program — including our platform, software, dashboards, data, algorithms, methodologies, and content — belongs to us. We give you a limited, non-exclusive, non-transferable, revocable licence to use our platform only for the purpose of participating in the Program.

You must not copy, reverse-engineer, decompile, or attempt to extract or replicate any part of our technology, systems, or proprietary methods.

9. Suspension and Termination

9.1 When we may close your account

We may suspend or permanently close your Prime Account at any time, with or without prior notice. Reasons include, but are not limited to:

• Any breach of these Terms or our trading rules;
• Suspected fraud, manipulation, or dishonest conduct;
• Risk management or regulatory requirements;
• Failure to satisfy any KYC, identity verification, AML, sanctions screening, compliance, or due diligence requirements;
• Any other reason at our sole discretion.

9.2 Closing your account

You may close your Prime Account by giving us 30 days' written notice by email.

9.3 What happens when access ends

When your Prime Account is closed for any reason:

• Your access to the account is revoked immediately;
• All open simulated positions are closed;
• Any pending reward requests will be reviewed at our discretion and may be reduced or denied;
• You will not earn any further Performance Rewards;
• Your obligations around confidentiality, non-solicitation, and non-disparagement continue.

9.4 Suspension

We may suspend your access while we investigate a suspected rule violation or other issue. Suspension does not entitle you to any compensation.

10. Disclaimers

We do not warrant that:

• The Prime Account will be available continuously or without interruption;
• The simulated environment will accurately reflect real market conditions;
• You will achieve any particular profit target, scaling milestone, or reward;
• Any content or data on our platform is accurate, complete, or up to date.

To the fullest extent permitted by law, we exclude all implied warranties, including any implied warranty of merchantability or fitness for a particular purpose.

11. Limitation of Liability

We will not be liable to you for:

• Any loss of simulated or anticipated profits;
• Any loss of opportunity or expected earnings;
• Any interruption to your trading access;
• Any loss or corruption of data;
• Any indirect, consequential, special, incidental, or punitive loss or damage of any kind,

regardless of how the loss arises and whether or not we have been told it was possible.

Access to the Prime Account is a discretionary benefit. It does not create any financial obligation on our part.

11.1 Force majeure

We are not liable for any failure or delay caused by circumstances outside our reasonable control, including natural disasters, war, terrorism, government action, cyberattacks, power failures, or internet outages.

12. Your Indemnity to Us

You agree to defend, indemnify, and hold harmless OG Prop Corp, our affiliates, officers, directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from: your breach of these Terms; any fraud, manipulation, or unlawful conduct by you; your violation of any applicable law; or any claim by a third party connected to your use of the Prime Account.

13. Changes to These Terms

We may update these Terms at any time. When we do, we will post the new version on our website with an updated date. If you continue to use the Prime Account after an update, you are accepting the new Terms. We will try to give you reasonable advance notice of any significant changes, but we are not obliged to do so.

14. Governing Law and Disputes

These Terms are governed by the laws of the Union of the Comoros. Any dispute arising out of or connected with these Terms will be resolved exclusively in the courts of the Union of the Comoros, and you agree to submit to that jurisdiction.

To the fullest extent permitted by law, you waive any right to bring or join any class action or collective claim against us. Any dispute must be brought on an individual basis only.

Nothing in this section prevents us from seeking urgent injunctive or other equitable relief in any court.

15. General

Severability — If any part of these Terms is found to be unenforceable, that part will be removed and the rest will continue in full force.

No waiver — If we do not enforce a provision of these Terms on one occasion, that does not mean we waive the right to enforce it in future.

Assignment — You may not transfer your rights or obligations under these Terms without our prior written consent. We may transfer our rights and obligations in connection with a business reorganisation or transfer.

Language — These Terms are written in English. If we provide a translation, the English version takes precedence in the event of any conflict.
